Change of Business Address FAQs

A business address is crucial as it establishes the physical location of operations, legal address for official correspondences, and clients’ point of contact. Given these, a strategic business address impacts logistical efficiency, customer accessibility, and overall business success.

A change of business address or company relocation is the transfer of business operations from one location to another. It may happen within the same or different geographic jurisdictions, i.e., barangay and city or municipality, and for a number of reasons, such as for accessibility, for operational efficiency, for brand enhancement and growth, for financial reasons, etc.

If a company or business relocates and fails to properly process its change of business address with the LGUs and government agencies, it is at a very high risk of getting fined, penalized, or suspended. Its registration and other legal documents will not be consistent with its current operations.

Unlike the regular new business registration, which may take a straightforward process, a change of business address involves both business retirement and new registration. A company or business may only register with the LGUs and government agencies having jurisdiction over the new business address after processing the business retirement with the previous ones.

 

The processing of a change of business address, whether within the same or different cities or municipalities, involves various agencies. It usually starts with the filing of GIS and/or AOI with the Securities and Exchange Commission (SEC). Then, the applications for business retirement and new registration with the BIR RDOs and BPLOs may be processed simultaneously. Lastly, the change must also be updated with the statutory agencies, i.e., SSS, PhilHealth, and Pag-IBIG Fund.

On average, a change of business address can be completed in three (3) to six (6) months.
